The Connecticut Athletic Trainers' Association (CATA) strives to improve the quality of health care for athletes, patients and clients and enhance the profession of Athletic Training, through leadership, education, and cooperative efforts with other organizations and allied health professions.

BY LAWS OF THE CONNECTICUT ATHLETIC TRAINERS ASSOCIATION

ARTICLE 1.0
NAME
1.1 The name of this organization, established as a nonprofit organization under the laws of the State of Connecticut, is the Connecticut Athletic Trainers’ Association, Inc. (CATA).

ARTICLE 2.0
PURPOSES
The purposes for which District 1 is organized are as follows: (a) To enhance the quality of health care for the physically active. (b) To advance the profession of athletic training through education and research in the prevention, evaluation, management and rehabilitation of injuries. (c) To safeguard and advance the interests of its members by presenting the profession’s --viewpoints, concerns and other important information to the media and to appropriate legislative, administrative, regulatory and private sector bodies, and by -- developing a working relationship with appropriate governmental and private sector not for profit and for profit agencies. (d) To advance member’s body of knowledge through the collection, interpretation and dissemination of information on subjects appropriate to the profession.

ARTICLE 3.0
MEMBERSHIP
3.1 Classification. There shall be five (5) classes of membership in the CATA and no individual shall be eligible for membership for more than one class at any one time. The classes of membership are:
(a) Certified
(b) Certified-Retired
(c) Associate
(d) Student
(e) Honorary
3.2 Membership Qualifications.
(a) Certified Members: Certified membership shall be open to any NATA certified athletic trainer (ATC) in good standing and any individual possessing current NATA Board of Certification (BOC) certification.
(b) Certified Retired Members: Certified Retired membership shall be open to any Certified Member who posses current NATA BOC certification and who has retired form the practice of athletic training and who has established that he or she is now retired from the

practice of athletic training by successfully completing the procedures specified in the NATA Policies and Procedures Manual.
(c) Associate Members: Associate membership shall be open to those individuals who are working professionally in athletics, education, research, medicine, or an allied health or other profession related to athletic training. Associate members must select affiliation with one of the following subcategories:
1. Athletic Training
2. Sports Medicine/Physician
3. Health Professions
4. Education/Research
5. Athletics
6. Other
(d) Student Members: Student membership shall be open to those individuals currently making progress toward the fulfillment of the requirements for NATA-BOC certification by participating in an internship or approved curriculum program under the supervision of an NATA certified athletic trainer; or non-certified individuals enrolled as full-time graduate students in an accredited college or university. Members in this category may not vote or hold office within the Association. Student members must select one of the following subcategories:
1. Undergraduate
2. Graduate
(e) Honorary Members: Honorary membership will be open to those individuals meeting the requirements specified by the Executive Council. Honorary members may not vote or hold office within the Association.
3.3 Application for Membership. Each applicant for any class of membership shall sign an application stating his or her desire and intention to become a member of the CATA, to advance its best interest in every reasonable manner and to accept as binding upon himself or herself its Constitution and bylaws.
3.4 Membership Rights and Privileges.
(a) All members may take part in discussion or debate and in general have the privilege of the floor during the annual business meeting or any other specifically convened members meetings. However, only Certified and Certified Retired members shall be entitled to make motions or vote.
(b) Only Certified and Certified Retired members shall be entitled to hold elected office in the CATA.
3.5 Suspension of Membership.
(a) The membership of any individual may be suspended by the Executive Council because of failure to pay annual dues or because the individual fails to meet the criteria for his/her present class of membership in the organization. Individuals expelled from the District and National Associations shall also be denied membership to the Connecticut Athletic Trainers Association.
(b) Membership suspension may be recommended by any member for a cause and such membership may be terminated or suspended by two-thirds vote of the Board of Directors.

(c) Membership cancellation will be automatic for nonpayment of dues beyond the deadline set forth by the Treasure.
(d) Any member whose membership has been revoked will have the right of appeal to the Review Board consisting of the President, President Elect, and Secretary and after the hearing, the decision of the Board of Directors will be reversed or upheld, as the case may be, by two-thirds vote of the Review Board.

ARTICLE 4.0
MEMBERSHIP MEETINGS
4.1 Time, Location, Notification Member meetings may be held twice annually. One meeting shall be held at the annual EATA meeting and the other shall be at the annual CATA Spring Conference or at a designated yearly CATA meeting. The location and time of the Member meetings shall be published in advance of the meeting in appropriate CATA publications. Other meetings may be called as required.
4.2 Purposes The member meetings shall be held for the purposes of announcing the CATA financial status, for the delivery of the President’s report, for the delivery of the CATA committee reports and for the conduction of the Business of the CATA.
4.3 Parliamentary Authority.
(a) All meetings and proceedings will be conducted in accordance with Robert’s Rules of Order.
(b) Minutes of each meeting shall be kept.

ARTICLE 5.0
EXCUTIVE COUNCIL
5.1 Members. The executive council of the CATA will be composed of the President, President-Elect, Immediate Past President, Secretary, Treasurer, and three Board of Directors.
5.2 Purpose. The purpose of the Executive Council is to manage the business of the CATA.
5.3 Meetings.
(a) Meetings are to be held as needed and shall be called by the President.
(b) Each set of the Executive Council shall have one vote. There shall be one vote for each of the following: President, President-Elect, Immediate Past President, Secretary, Treasurer, and three Board of Directors, for a total of eight votes. A simple majority shall constitute a quorum.
(c) Minutes of each Executive Council meeting hall be kept.
ARTICLE 7.0
REMOVAL AND REPLACEMENT OF EXECUTIVE COUNCIL MEMBERS
7.1 removal of Executive Council Members. CATA members may remove their Executive Council members at any time. The voting members, by majority vote of the members present at a CATA members meeting, may call for a mail ballot of its voting members on the

question n of whether to impeach an Executive Council member. The mail ballot shall specify which members is to be removed and for what reason. An interim replacement shall be chosen according to section 7.3 of these Bylaws.
7.2 Resignation of Executive Council Members. Any member of the Executive Council may resign at any time by notifying the Executive Council in writing of his or her resignation.
7.3 Vacancies. The Executive Council shall select and appoint someone to fill the remaining terms of any vacated CATA office.

ARTICLE 8.0
DUTIES OF EXECUTIVE COUNCIL MEMBERS
8.1 President.
(a) To serve as the official spokesperson for the CATA and to act as the representative of the organization to allied associations and other organized bodies, or to appoint a representative to carry out this function.
(b) To serve on the NATA District 1 Executive Council.
(c) To develop the agenda for and preside over all business meetings of the membership of the CATA.
(d) To preside over all Executive Council meetings.
(e) To implement the mandates and policies of the CATA.
(f) To appoint all standing committees and other special or ad hoc committees that may be formed.
(g) To transact all business for and on behalf of the CATA, subject to the Bylaws.
(h) To commit the CATA to no obligation in excess of its available resources.
(i) To serve on the CATA Executive Council.
8.2 President-Elect.
(a) To serve as a member of the CATA Executive Council.
(b) To assume the duties of the President in his/her absence for the remainder of the unexpired term in the event that the President becomes unable to fulfill the duties of that office.
(c) To assume the office of President upon the completion of the term of President-Elect.
(d) To serve as chairperson for the annual CATA Conference.
8.3 Past-President.

(a) To serve as a member of the CATA Executive council.
(b) To serve as a chairperson for the annual CATA Conference.
8.4 Secretary.
(a) To attend CATA meetings, record and distribute to members the minutes of the CATA meetings.
(b) To maintain a file of the records and official correspondence of the CATA meetings.
(c) To conduct, in conjunction with the President such matters as meetings, notices, election results, committee appointments, and all notices as required by these Bylaws.
(d) To maintain a current and accurate mailing list and an official record the CATA membership.
(e) To maintain a record of the CATA committee and chairpersons.
(f) To provide the President with a detailed order of business including reports and announcements prior to each business meeting.
(g) To serve on the CATA Executive Council.
8.5 Treasurer.
(a) To receive dues oneis.
(b) To keep and maintain a permanent and accurate record of all receipts and disbursements of the CATA.
(c) To handle the receipt and disbursement of all monies to and from the CATA.
(d) To submit the official books for the annual audit by the Audit Committee or at any time requested by the Executive Council.
(e) To provide an annual financial report to the President and interim reports as requested by the Executive Council.
(f) To serve on the CATA Executive Council.
8.4 Board of Directors.
(a) To serve on the CATA Executive Council.
(b) To assist the President with implementation of the mandates and policies of the CATA.
(c) To represent the CATA to allied associations and other organized bodies.

ARTICLE 9.0
FINANCE
9.1 Membership Dues.
(a) The dues for each membership classification shall be determined by the Executive Council and shall be paid annually.
(b) Delinquent members shall be ineligible to vote or hold office within the CATA until such delinquent dues and processing fees are paid.
9.2 Other. CATA may accept financial support from outside agencies or entities to help fund professional projects within the CATA consistent with limitations imposed by law and by the NATA. 9.3 Checks, Drafts, etc. All checks, drafts or other orders for payment of monies, issued in the name of CATA shall be signed by such Officer or Officers of the CATA in such a manner as shall be determined from time to time by resolution of the CATA Executive Council. 9.4 Deposits. The funds of CATA shall be deposited in such depositories as the CATA Executive Council selects. 9.5 Gifts The members of the Executive Council may accept, on behalf of CATA without further authorization, any contribution, gift, bequest or device, except such gifts made without limitations or conditions imposed by the donor. The gifts may only be accepted by express authority of the CATA Executive Council. 9.6 Fiscal Year. The fiscal year shall be determined by resolution of the Executive Council. 9.7 Auditing of Books. One month after the close of the fiscal year, the Treasurer shall submit the Books to the Audit Committee for auditing. A written report summarizing CATA financial status shall be made to the membership at each member meeting. 9.8 Accountability. The CATA President and CATA Treasurer shall be accountable for proper dispensation of all receipts and expenses for the CATA.

ARTICLE 10.0
COMMITTEES
10.1 Special Committees. (a) Special committees shall be formed by the President as needed. (b) Special committees shall be composed of a chairperson appointed by the President.

The President and Chairperson shall recruit members to serve on the committee. The Chairperson will report directly to the President. (c) The President shall charge each special committee with specific tasks and the committee shall dissolve when its tasks have been completed. 10.2 Standing Committees. (a) The following Standing Committees shall be formed: 1. Nominations & Elections 2. Honors & Awards 3. Audit 4. Financial (b) The Chairperson of each committee will be appointed by the President with the approval of the Executive Council. The term of office will be for one year commencing with the end of the Annual Spring CATA members meeting and he/she may be reappointed with the approval of the Executive Council. (c) In the event of a vacancy, the President, with the approval of the Executive Council, will appoint a member to fulfill the remainder of the unexpired term.
10.3 Nominations and Elections Committee Functions & Responsibilities. (a) To seek, screen and maintain a list of qualified candidates for the elected offices of President-Elect, Secretary, Treasurer, and Board of Directors. (b) To conduct the election for the CATA offices, as necessary by mail ballot. (c) To present nominees for elected offices to the voting membership on the mail ballot. (d) To obtain the results of the mail ballots appropriately and tabulate the ballots to determine the winner of the election. (e) To announce the election results to the nominees and the membership in a timely manner. (f) To publicize upcoming elections for six months prior to the election date. (g) To advise the Executive Council.
10.4 Honors & Awards Committee Functions & Responsibilities. (a) To screen and nominate members from the CATA for the NATA Hall of Fame and other NATA awards. (b) To seek, screen and maintain a list of qualified candidates for CATA awards. (c) To recommend qualified CATA members to the EATA Honors & Awards Committee. (d) To consider special Honors & Awards, which could be presented to individuals, who are, or have been, members of the CATA. (e) To advise the Executive Council.
10.5 Audit Committee Functions & Responsibilities. (a) To perform audits of the financial records and report the results of the audit to the Executive Council.
10.6 Finance Committee Functions & Responsibilities. (a) To develop a projected operating budget and investments for the upcoming fiscal year and present it to the Executive Council for approval, at least sixty days before the start of the fiscal year.

ARTICLE 11.0
AMENDMENTS
11.1 These By-laws may be altered, amended, supplemented or repealed: (a) After changes submitted and approved by the Executive Council, are submitted to the members and approved by a two-thirds majority vote of the voting membership, at A CATA business meeting (provided that the proposed changes have appeared as a printed agenda item), or by a two-thirds majority vote of the voting membership in a mail vote. (b) Technical corrections to these Bylaws may be made by unanimous vote of the Executive Council. If these Bylaws are altered, amended, supplemented or repealed in this manner, the changes will not become effective until sixty days after the membership has been advised of the changes.

ARTICLE 12.0
GOVERNING AUTHORITY
These By-laws shall not conflict with the By-laws of the NATA. In the event of a conflict, the NATA Bylaws will take precedence and the CATA Bylaws will be amended accordingly.

ARTICLE 13.0
DURATION
The duration of District 1 on the National Athletic Trainers’ Association, Inc. shall be perpetual.

ARTICLE 14.0
SAVING CLAUSE
14.1 Implied Power and Authority. In addition to the powers set forth herein, the organization shall have all further power and authority to be reasonably implied from the objectives stated herein, without necessity for specific amendment.
14.2 Failure of Literal or Complete Compliance. Failure of literal or complete compliance with provisions of the Bylaws in respect of dates and time notices, or the sending or receipt of the same, or errors in phraseology of notice or proposals, which in the judgment of the members at the meeting held, do not cause substantial injury to the rights of members, shall not invalidate the actions of proceeding occurrences of the members at any meeting.

ARTICLE 15.0
INDEMENIFICATION
To the extent, if any, that the Executive Council may determine, and to the extent allowed by law, CATA may indemnify any Director or Officer or former Director or Officer, or any person who may serve at its request as a Director or Officer against the reasonable expenses (including attorney’s fees) actually and necessarily incurred by him or her in connection with the defense of any action, suit or proceeding in which he or she is made a party by reason of being or having been such Director or Officer.
